3. SCOPE OF SERVICES

3.1 Description of Services. Subject to these Terms, the Company provides access to the Platform, which offers the following core capabilities: (a) AI-driven audit assistance and automated audit workflow management; (b) financial document ingestion, parsing, and analysis; (c) compliance monitoring and regulatory risk identification; (d) anomaly detection and risk flagging within financial datasets; and (e) structured reporting and Output generation. The specific features available to a User depend on the Subscription tier to which the User has subscribed, as further described in Section 6. 3.2 Subscription Basis. Access to the Platform is provided on a subscription basis. All services are subject to the terms, conditions, feature limitations, and usage thresholds of the applicable Subscription plan. The Company reserves the right to establish and adjust usage limits, feature access, and processing capacity across Subscription tiers as described in Section 6. 3.3 Modification of Features. The Company reserves the right, in its sole discretion, to modify, enhance, suspend, or discontinue any feature, functionality, or component of the Platform at any time. Where such changes are material in nature, the Company shall use commercially reasonable efforts to provide Users with advance notice of not less than thirty (30) days via email or in-app notification. Continued use of the Platform following implementation of any such change constitutes acceptance of the modified service offering. The Company shall not be liable to any User for any modification, suspension, or discontinuation of any Platform feature. 3.4 Beta Features. From time to time, the Company may make certain features or functionality available to Users on a beta, preview, or early-access basis ("Beta Features"). Beta Features are experimental in nature, are provided strictly on an "as-is" and "as-available" basis without any representation, warranty, or commitment of any kind, and may be subject to additional terms. The Company reserves the right to modify, suspend, or discontinue any Beta Feature at any time without notice or liability. 3.5 Decision-Support Tool — Not a Licensed Audit Firm. The Platform is a technology-based decision-support tool. MyAuditorAI, Inc. is not a licensed certified public accounting (CPA) firm, registered audit firm, law firm, or financial advisory firm. The Platform does not provide licensed auditing services, legal advice, tax advice, or investment advice as those terms are defined under applicable professional standards and licensing laws. Users are solely responsible for engaging qualified licensed professionals for any statutory audit, legal, tax, or regulatory compliance engagements.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Registration Requirements. To access the features of the Platform, you must create an Account by completing the registration process. You agree to provide accurate, current, and complete information during registration, and to promptly update such information as necessary to ensure that your Account information remains accurate, current, and complete at all times. The Company reserves the right to reject any registration or suspend any Account where registration information is found to be inaccurate, misleading, or incomplete. 4.2 Credential Confidentiality. You are solely responsible for maintaining the confidentiality and security of your Account login credentials, including your username and password. You agree to take all reasonable precautions to prevent unauthorized access to your Account, including using a strong, unique password and enabling any multi-factor authentication features made available by the Company. 4.3 Prohibition on Unauthorized Sharing. You must not share your Account credentials or permit any individual who is not an Authorized User (as defined in Section 2.9 and designated by your Account Administrator) to access the Platform using your Account. Each Account or user seat is intended for use by a single designated individual or, in the case of enterprise accounts, a defined set of Authorized Users. 4.4 Unauthorized Access Notification. You agree to notify the Company immediately at security@myauditorai.com upon becoming aware of any actual or suspected unauthorized access to your Account, disclosure of your credentials, or any other breach of Account security. The Company shall not be liable for any loss or damage arising from unauthorized access to your Account resulting from your failure to maintain credential confidentiality or your failure to promptly notify the Company of a known or suspected breach. 4.5 Account Suspension and Termination. The Company reserves the right to suspend, restrict, or terminate any Account at any time, with or without prior notice, if the Company reasonably believes that such Account is being used in violation of these Terms, applicable law, or in a manner that poses a risk to the Company, other Users, or third parties. Account suspension for violation of these Terms does not entitle the User to any refund of prepaid Subscription fees except as expressly required by applicable law. 4.6 Account Administrator. Organizations subscribing to multi-user or enterprise Subscription plans must designate at least one individual as the Account Administrator. The Account Administrator is responsible for (a) managing Authorized User access and permissions; (b) ensuring all Authorized Users comply with these Terms; (c) maintaining accurate organizational billing and contact information; and (d) serving as the primary point of contact with the Company for account-level matters. The Organization is fully responsible and liable for all acts and omissions of its Authorized Users.

5. USER RESPONSIBILITIES

5.1 Data Accuracy. You are solely responsible for ensuring that all data, documents, financial records, and other Content you submit to the Platform are accurate, complete, and current. The Company does not independently verify the accuracy or integrity of Content submitted by Users, and the quality of Output generated by the Platform is directly dependent upon the quality of the Content provided. The Company shall bear no responsibility for errors in Output attributable to inaccurate, incomplete, or fraudulent Content. 5.2 Content Legality. You represent and warrant that (a) you have the full legal right, license, authority, and permission to upload, transmit, and submit all Content to the Platform; (b) your Content does not infringe, misappropriate, or violate the intellectual property rights, privacy rights, or other rights of any third party; (c) your Content does not violate any applicable law, regulation, or court order; and (d) your use of the Platform in connection with your Content complies with all applicable laws and regulations in your jurisdiction. 5.3 Rights to Uploaded Documents. You must ensure that you hold all necessary rights, consents, authorizations, and permissions to upload and process all documents through the Platform, including without limitation documents containing third-party proprietary data, personal information of data subjects, or information subject to confidentiality agreements. By uploading Content, you represent that doing so does not violate any third-party agreement, obligation, or applicable law. 5.4 Legal Compliance. You agree to use the Platform strictly in compliance with all applicable federal, state, local, and international laws, statutes, regulations, and regulatory guidelines, including those governing data protection, financial regulation, anti-money laundering, securities laws, and professional licensing. You are solely responsible for determining whether your use of the Platform is compliant with all laws applicable to your jurisdiction and industry. 5.5 Prohibition on Reverse Engineering. You agree not to attempt to reverse-engineer, decompile, disassemble, decode, or otherwise attempt to derive or access the source code, underlying algorithms, model architectures, training data, or proprietary methodologies of any AI Features, software components, or other technical elements of the Platform. Any such attempt constitutes a material breach of these Terms and may result in immediate Account termination and legal action. 5.6 Validation of AI Output. You acknowledge and agree that all Output generated by the Platform's AI Features must be independently reviewed, verified, and validated by qualified professionals prior to being relied upon for any business, financial, regulatory, legal, or operational decision. You are solely responsible for any decisions made in reliance on AI-generated Output, and the Company assumes no liability for consequences arising from your use of or reliance upon Output without independent verification. 5.7 Enterprise Administrator Responsibilities. If you are an Account Administrator managing an enterprise or team account, you are responsible for the conduct of all Authorized Users operating under your account. You must ensure that all Authorized Users are made aware of, and comply with, these Terms in their entirety. The Organization and Account Administrator shall be jointly liable for any violation of these Terms committed by Authorized Users.

6. SUBSCRIPTION PLANS AND BILLING

6.1 Subscription Model. Access to the full features of the Platform is provided on a subscription basis, billed on either a monthly or annual cycle as selected by the User at the time of purchase. Annual subscriptions may be offered at a discounted rate relative to the equivalent monthly billing total. All Subscription fees are stated in United States Dollars (USD) unless otherwise specified. 6.2 Subscription Tiers. The Company offers the following Subscription plan tiers, each providing access to a defined set of Platform features. Specific pricing for each tier is available on the Company's website and is subject to change in accordance with Section 6.9: Starter — Individual practitioners and small teams. Basic AI analysis tools, limited document uploads per month, standard reporting, email support. Price: see pricing page. Professional — Mid-size accounting and compliance teams. Full AI Features suite, expanded document processing, advanced risk flagging, compliance dashboards, priority support. Price: see pricing page. Enterprise — Large organizations, audit firms, and regulated entities. Unlimited Authorized Users, custom integrations, dedicated account management, SLA, SSO, advanced data controls, custom reporting. Price: contact sales. 6.3 Free Trial. The Company may, at its discretion, offer a free trial period to new Users (the "Trial Period"), the duration of which will be specified at the time of registration. During the Trial Period, access to certain Platform features may be limited. At the conclusion of the Trial Period, your Subscription will automatically convert to a paid Subscription at the applicable plan rate unless you cancel your Subscription before the Trial Period ends. No charges will be incurred during the Trial Period provided cancellation occurs prior to its conclusion. 6.4 Payment Processing. All Subscription fees are processed through one or more third-party payment processors (e.g., Stripe, Inc. or its equivalent). By providing payment information and initiating a Subscription, you agree to the applicable terms of service and privacy policies of such third-party payment processors. The Company does not store full payment card details on its own systems. You represent that you are authorized to use any payment method you provide. 6.5 Automatic Renewal. Unless you cancel your Subscription prior to the end of the then-current billing cycle, your Subscription will automatically renew for a successive period of equivalent duration at the then-current applicable rate. You authorize the Company to charge your payment method on file for each renewal period without additional notice. To disable automatic renewal, you must access your Account settings or contact support@myauditorai.com at least forty-eight (48) hours prior to the end of the then-current billing cycle. 6.6 Refund Policy. Subscription fees are generally non-refundable. The Company does not provide refunds or credits for partial subscription periods, unused features, or unused processing capacity, except (a) where required by applicable law; (b) where the Company, in its sole discretion, determines that a refund is warranted due to a verified platform failure or error attributable to the Company; or (c) as otherwise expressly set forth in a separate written agreement with the Company. Upgrades between plan tiers will be applied on a prorated basis for the remainder of the current billing cycle. 6.7 Late Payment and Account Suspension. If any payment obligation is not satisfied by the due date, the Company reserves the right to (a) suspend access to the Platform upon written notice; (b) charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower; and (c) terminate the Account for non-payment following a cure period of fifteen (15) days after notice of non-payment. Reinstatement of a suspended Account may be subject to a reinstatement fee. 6.8 Pricing Changes. The Company reserves the right to modify its Subscription pricing at any time. The Company will provide Users with at least thirty (30) days' advance written notice of any price changes via email or in-app notification before such changes take effect. If you do not agree to a pricing change, you may cancel your Subscription prior to the effective date of such change. 6.9 Taxes. All Subscription fees are exclusive of any applicable taxes, levies, duties, or similar governmental assessments, including without limitation sales tax, use tax, value-added tax (VAT), or goods and services tax (GST) ("Taxes"). You are solely responsible for the payment of all Taxes associated with your Subscription and use of the Platform. If the Company is required to collect Taxes on your behalf, such Taxes will be added to your invoice and charged to your payment method on file.

7. AI USE DISCLOSURE AND LIMITATIONS

Important Disclosure Regarding Artificial Intelligence: The following disclosures are material to your use of this Platform. Please read this section carefully before relying on any Output generated by the Platform. 7.1 Use of Artificial Intelligence. The Platform incorporates and is substantially powered by artificial intelligence and machine learning technologies, including but not limited to large language models, neural networks, supervised and unsupervised learning algorithms, natural language processing, and statistical modeling frameworks. These technologies are used to analyze Content, identify patterns, generate reports, flag anomalies, and produce other forms of Output. 7.2 AI Output Is Not Professional Advice. Output generated by the Platform's AI Features does not constitute, and shall not be construed as, professional audit advice, legal advice, tax advice, financial advice, investment advice, or any other form of licensed professional advice or service. The Platform is a technology tool designed to assist — not replace — qualified human professionals. Users should not make material business, financial, regulatory, or legal decisions based solely on AI-generated Output without independent review by qualified licensed professionals. 7.3 Errors, Omissions, and Outdated Analysis. AI models are inherently imperfect. The Platform's AI Features may produce Output that contains errors, omissions, misclassifications, hallucinations, or analysis that is incomplete, outdated, or inapplicable to a User's specific circumstances. The Company does not guarantee the accuracy, completeness, timeliness, or reliability of any Output. Users are responsible for independently verifying all Output before any reliance thereon. 7.4 Continuous Training and Model Evolution. The Company continuously trains, fine-tunes, updates, and improves its AI models. As a result, the Output produced for the same or similar input may vary over time. The Company does not guarantee that Output generated at any point in time will remain consistent, reproducible, or valid beyond the date of generation. Users should document and independently validate Output at the time it is generated. 7.5 No Guarantee of Accuracy or Regulatory Fitness. The Company makes no representation or warranty, express or implied, that the Platform or its Output is accurate, complete, error-free, or suitable for any particular regulatory, compliance, or professional purpose. The Company expressly disclaims any warranty of fitness for a specific purpose with respect to AI-generated Output. 7.6 User Reliance at Own Risk. You expressly acknowledge and agree that any reliance on AI-generated Output without independent review and validation by a qualified licensed professional is undertaken entirely at your own risk. The Company shall not be liable for any consequences — including financial loss, regulatory penalty, reputational harm, or legal liability — arising from your reliance on Output without independent verification. 7.7 No Regulatory Compliance Certification. The Company does not represent, warrant, or certify that the Platform or its Output meets any specific regulatory, statutory, or professional compliance standard, including without limitation Public Company Accounting Oversight Board (PCAOB) standards, Generally Accepted Accounting Principles (GAAP), International Financial Reporting Standards (IFRS), the Sarbanes-Oxley Act (SOX), Anti-Money Laundering (AML) regulations, or any other applicable framework, unless such compliance is explicitly documented and warranted in a separate written agreement executed between the Company and the User.

8. INTELLECTUAL PROPERTY

8.1 Company Ownership. The Company owns and retains all right, title, and interest in and to the Platform, including without limitation all software, source code, object code, AI models, model weights, training methodologies, algorithms, user interfaces, application programming interfaces (APIs), design elements, branding, trademarks, service marks, trade names, logos, documentation, and all other intellectual property rights associated therewith (collectively, "Company IP"). These Terms do not grant you any ownership interest in or to any Company IP. All rights not expressly granted herein are reserved by the Company. 8.2 User Content Ownership. You retain all right, title, and interest in and to the Content you upload or submit to the Platform. Nothing in these Terms transfers ownership of your Content to the Company. 8.3 License to Process Content. By uploading or submitting Content to the Platform, you hereby grant the Company a limited, non-exclusive, royalty-free, worldwide, sublicensable (solely to the extent necessary to provide the Services via hosting and processing partners) license to access, store, process, analyze, and use your Content solely for the purpose of providing the Services to you as described in these Terms. This license terminates upon deletion of your Content or termination of your Account, subject to applicable data retention requirements as described in Section 9. 8.4 Aggregated and Anonymized Data. Notwithstanding Section 8.2 and 8.3, the Company may collect, compile, and use aggregated, anonymized, and de-identified data derived from Users' usage of the Platform and interaction with AI Features (collectively, "Aggregated Data") for the purposes of platform improvement, AI model training and refinement, benchmarking, analytics, and development of new features and services. Aggregated Data does not include any personally identifiable information or Content attributable to individual Users. No individual User's confidential data or Content shall be shared externally in identifiable form. 8.5 Restrictions on Use of Company IP. Except as expressly authorized in writing by the Company, you agree not to: (a) copy, reproduce, or duplicate any portion of the Platform or Company IP; (b) distribute, sublicense, sell, resell, transfer, or assign any rights to the Platform; (c) modify, adapt, alter, translate, or create derivative works based on the Platform or its documentation; (d) reverse-engineer, disassemble, decompile, or otherwise attempt to derive source code from the Platform; or (e) frame, mirror, or incorporate any portion of the Platform into another website or application without express written permission. 8.6 License to Output. Subject to your compliance with these Terms and timely payment of applicable Subscription fees, the Company grants you a limited, non-exclusive, non-transferable, royalty-free license to access, use, and reproduce Output generated by the Platform solely for your own internal business purposes. Output may not be sublicensed, resold, publicly distributed, or used in any manner that competes with the Company's products or services without prior written consent. 8.7 Feedback. If you provide the Company with any suggestions, ideas, enhancement requests, bug reports, recommendations, or other feedback regarding the Platform (collectively, "Feedback"), you hereby grant the Company a perpetual, irrevocable, royalty-free, worldwide, fully sublicensable license to use, reproduce, modify, incorporate, and commercialize such Feedback for any purpose, without any obligation of confidentiality, attribution, or compensation to you.

The Company's target availability for the Platform is 99.5% uptime per calendar month, measured on a rolling monthly basis and excluding time attributable to scheduled maintenance windows. This target is aspirational and does not constitute a contractual service level agreement (SLA) unless separately executed in writing as part of an Enterprise agreement. 10.3 Scheduled Maintenance. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD); OR (B) THE TOTAL AMOUNT OF SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO THE COMPANY IN THE TWELVE (12) CALENDAR MONTHS IMMEDIATELY PRECEDING THE DATE ON WHICH THE CLAIM FIRST AROSE. 13.5 Jurisdictional Limitations. TO THE EXTENT SUCH LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY, AND YOUR RIGHTS MAY BE BROADER THAN THOSE DESCRIBED HEREIN. IN SUCH CASES, THE COMPANY'S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

14. INDEMNIFICATION

14.1 User Indemnification Obligation. To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Company and its affiliates, subsidiaries, successors, officers, directors, employees, contractors, agents, licensors, and representatives (collectively, "Indemnified Parties") from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: 1. Your breach or alleged breach of any representation, warranty, covenant, or obligation set forth in these Terms; 2. Your Content, including any claim that your Content infringes, misappropriates, or violates any third-party intellectual property right, privacy right, or other proprietary right; 3. Your use or misuse of the Platform, including any reliance on Output without independent verification by a qualified professional; 4. Your violation of any applicable federal, state, local, or international law, regulation, or regulatory requirement; 5. Any third-party claim arising from or related to your actions, omissions, or conduct on or in connection with the Platform; or 6. The actions or omissions of any Authorized User accessing the Platform through your Account. 14.2 Indemnification Procedure. The Company will notify you promptly of any claim for which indemnification is sought, provided that failure to provide timely notice shall not relieve you of your indemnification obligations except to the extent you are materially prejudiced by such delay. The Company reserves the right to assume exclusive control of the defense and settlement of any indemnified claim at your expense. You agree to cooperate fully with the Company in connection with the defense of any such claim and shall not settle any claim without the Company's prior written consent.

15. MODIFICATIONS TO TERMS

15.1 Right to Modify. The Company reserves the right, in its sole discretion, to modify, amend, supplement, or replace any provision of these Terms at any time. All modifications shall be effective as of the date specified in the applicable notice or, if no date is specified, upon publication of the updated Terms on the Company's website. 15.2 Notice of Material Changes. For modifications that the Company determines to be material in nature — including changes that affect your rights, payment obligations, dispute resolution mechanisms, or data handling practices — the Company will provide Users with at least fifteen (15) days' advance notice prior to the effective date of such changes. Such notice will be delivered via (a) email to the address associated with your Account, and/or (b) a prominent in-app notification upon login to the Platform. 15.3 Acceptance by Continued Use. 16. GOVERNING LAW AND DISPUTE RESOLUTION

16.1 Governing Law. These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Platform, or the relationship between you and the Company, shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without giving effect to any conflict of law provisions or principles that would cause the application of the laws of any other jurisdiction. 16.2 Good-Faith Negotiation. Prior to initiating any formal dispute resolution proceeding, the parties agree to attempt in good faith to resolve any dispute, claim, or controversy through direct negotiation. Either party may initiate the negotiation process by providing written notice to the other party describing the nature of the dispute and the relief sought. The parties shall have a period of thirty (30) calendar days from the date of such notice (or such longer period as may be mutually agreed in writing) to attempt to resolve the dispute through good-faith negotiation. 16.3 Binding Arbitration. If any dispute is not resolved through good-faith negotiation within the period specified in Section 16.2, such dispute shall be finally and exclusively resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules and Mediation Procedures then in effect, as modified by this Section. The arbitration shall be conducted before a single arbitrator, in the English language, in Wilmington, Delaware, United States of America. The arbitrator's award shall be final, binding, and non-appealable, except as permitted by applicable law, and may be entered as a judgment in any court of competent jurisdiction. 16.4 Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU EXPRESSLY WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE OR CONSOLIDATED PROCEEDING AGAINST THE COMPANY. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE WITH RESPECT TO ANY PARTICULAR CLAIM, THAT CLAIM SHALL BE SEVERED FROM THE ARBITRATION AGREEMENT AND PROCEED IN A COURT OF COMPETENT JURISDICTION. 16.5 Arbitration Opt-Out. You have the right to opt out of the binding arbitration and class action waiver provisions of this Section by providing written notice to the Company at legal@myauditorai.com within thirty (30) calendar days of the date you first accept these Terms (whether upon registration or first use of the Platform). Your opt-out notice must include your full name, Account email address, and a clear statement that you are opting out of arbitration. If you opt out of arbitration, disputes shall be resolved in courts of competent jurisdiction as provided in Section 16.1. 16.6 Injunctive Relief. Notwithstanding any other provision of this Section 16, either party may seek emergency or preliminary injunctive relief or other equitable relief from a court of competent jurisdiction in Wilmington, Delaware, without first engaging in the negotiation or arbitration process described herein, where such relief is necessary to prevent irreparable harm or to preserve the status quo pending completion of arbitration, including without limitation claims relating to intellectual property infringement or unauthorized use of Confidential Information.
